1. Agreement to Terms
Impact Toolbox is a non-profit organization providing equity-deserving leaders with opportunities to learn, access resources, and develop capabilities to transform their ideas and passion for social change into viable community development projects, businesses, and successful careers.
These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “User,” or “Participant”), and Impact Toolbox, a non-profit organization registered in British Columbia, Canada (“Impact Toolbox,” “we,” “us,” or “our”), concerning your access to and use of the Impact Toolbox website, services, and educational programs (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.
A. Eligibility
The Services are intended for users who are at least eighteen (18) years of age. If you are under the age of 18, you may only use the Services with the permission and involvement of a parent, guardian or teacher. By using the Services, you represent and warrant that you are of legal age or have obtained necessary parental consent. If you are not at least 13 years old, you may not use the Services at any time.
2. Intellectual Property Rights (Impact Toolbox)
Unless otherwise indicated, the Services and all proprietary content, databases, website designs, audio, video, text, graphics, and course materials (excluding User Submissions, as defined below) are owned or licensed by Impact Toolbox and are protected by copyright and intellectual property laws of Canada and international conventions.
Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access the Services and download or print a copy of any portion of the content to which you have properly gained access solely for your personal, non-commercial educational use.
Prohibitions: You may not copy, reproduce, distribute, sell, or commercially exploit any part of the Services without our express prior written permission. This includes a strict prohibition on using any part of the Services, content, or data to train, fine-tune, or otherwise feed generative artificial intelligence (AI) models or machine learning systems.
3. User Submissions and Intellectual Property Rights (User)
Our Services allow you to submit assignments, business plans, ideas, comments, and other content (“User Submissions”).
A. Ownership of Submissions
You retain all ownership rights in your User Submissions. Impact Toolbox claims no ownership over your intellectual property.
B. User Grant of License
By making a User Submission to the Services, you hereby grant Impact Toolbox a:
Non-exclusive, royalty-free, perpetual, worldwide license to use your User Submission solely for the purpose of assessing, grading, and improving the internal quality of our programs and Services. We will not use your submission for external marketing or commercial purposes without separate written consent.
4. Fees, Payments, and Refund Policy
Fees: You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable.
ALL FEES FOR COURSES AND DIGITAL PRODUCTS ARE NON-REFUNDABLE. Once an order for a course has been placed on Impact Toolbox, we do not offer refunds. We are committed to providing our participants with high-quality and valuable learning experiences, and our courses are designed to offer comprehensive and relevant content.
We understand that circumstances may change and you may be unable to complete a course. However, as our courses are accessible immediately upon purchase, we are unable to offer refunds once the order is placed. In the case of extraordinary and exceptional circumstances, please do not hesitate to contact us at hello@impacttoolbox.org.

5. User Conduct and Acceptable Use
You agree not to use the Services to:
Accurate Information: Provide us with updated, accurate, and complete information where required for registration or feature access.
Plagiarism: Submit work that is not your own or use resources in a way that violates academic integrity.
Intellectual Property & Proprietary Ideas: Appropriately respect the intellectual property rights of others. You agree not to misappropriate, copy, or use any proprietary ideas, internal data, or confidential information shared by other program participants, coaches, or staff during the program for your own benefit or outside the scope of the program.
Harassment/Abuse: Harass, abuse, or harm another person, including Impact Toolbox staff, coaches, or other program participants.
Illegal Activity: Use the Services for any unlawful purpose or to post any offensive or defamatory content, or violate any applicable law.
Security Violation: Interfere with or disrupt the Services or the networks and systems used to provide the Services.
6. AI Tools and Content Responsibility
Impact Toolbox staff may use Generative AI tools internally to assist with administrative tasks, grading, communications, and content drafting.
Risk and Responsibility: You acknowledge that content generated or assisted by AI may contain errors, inaccuracies, or “hallucinations.” If any advice, content, or material provided to you through the Services was assisted by AI, Impact Toolbox disclaims all liability for any loss or damage resulting from reliance on such content. We advise all users to independently verify information.
7. Disclaimers and Limitation of Liability
A. Disclaimers (No Guarantee of Outcome)
The Services, including all course materials, mentorship, and advice, are provided “as is” and “as available” without any warranties of any kind, express or implied. We do not warrant that the website will be error-free or that access will be uninterrupted. We reserve the right to modify, suspend, or discontinue the services provided through this website at any time without notice. Specifically, Impact Toolbox does not guarantee any specific financial or entrepreneurial outcome, success, or profit as a result of using the Services.
B. Limitation of Liability
In no event shall Impact Toolbox, its directors, officers, employees, or agents be liable to you or any third party for any direct, indirect, incidental, special, punitive, or consequential damages, including lost profit, lost revenue, loss of data, or other damages arising out of or in connection with your use of the website or these Terms of Service.
C. Third-Party Websites
The Services may contain links to other websites (“Third-Party Websites”). Impact Toolbox has no control over and is not responsible for the content or privacy practices of these Third-Party Websites. Accessing external links is at your own risk.
8. Indemnification
You agree to indemnify and hold harmless Impact Toolbox, its directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the Services or any breach of these Terms of Service.
9. Termination
We may, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason, including, without limitation, for breach of any representation, warranty, or covenant contained in these Terms. Upon termination, your right to use the Services will immediately cease. We reserve the right to delete or suspend accounts that have been inactive for a period exceeding twelve (12) months.
10. Governing Law and Dispute Resolution
These Terms and your use of the Services are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law principles.
A. Dispute Resolution
Mandatory Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered in Vancouver, British Columbia, Canada, in accordance with the rules of the British Columbia International Commercial Arbitration Centre. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
11. Privacy and Confidentiality
Impact Toolbox is committed to protecting the privacy of our community members, program and course participants, donors and partners. 12. Modifications to Terms of Service
Impact Toolbox may modify these Terms of Service at any time, and such modifications shall be effective immediately upon posting the modified Terms of Service on the website. Your continued use of the Services after any such modification constitutes your acceptance of the modified Terms of Service.
